TERMS & CONDITIONS

David Woolbert Photography

Effective Date: January 1, 2026

These Terms and Conditions (“Agreement”) govern all photography services provided by David Woolbert Photography (“Photographer,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”). By booking, contracting, or engaging our services, you agree to be bound by this Agreement.

1. SERVICES PROVIDED

David Woolbert Photography provides professional photography services, including but not limited to:

• Headshot photography

• Personal and business branding photography

• Corporate event photography

• Private event photography

• Sports photography

Services are provided by appointment or contract only and are subject to availability.

2. BOOKING & PAYMENT

A booking is not confirmed until:

• A written agreement or confirmation has been issued, and

• Any required deposit or payment has been received.

Pricing, deliverables, usage rights, and timelines are agreed upon before the session or event. Payments must be made in accordance with the invoice or contract terms.

3. CANCELLATIONS & RESCHEDULING

• Cancellations or rescheduling requests must be made in writing.

• Deposits are non-refundable unless otherwise stated in writing.

• Rescheduling is subject to availability.

• In the event the Photographer must cancel due to illness, emergency, or circumstances beyond control, all payments will be refunded or applied to a rescheduled session.

4. COPYRIGHT & OWNERSHIP

All photographs, images, and content created by David Woolbert Photography are protected under United States Copyright Law.

• The Photographer retains full copyright ownership of all images unless otherwise agreed in writing.

• No ownership rights are transferred to the Client.

5. LICENSE & IMAGE USAGE

Clients are granted a limited, non-exclusive, non-transferable license to use delivered images as outlined in the service agreement.

Permitted Uses:

• Personal use

• Business marketing and promotion

• Website, social media, print, and advertising (unless otherwise restricted)

Prohibited Uses:

• Selling or licensing images to third parties

• Altering images in a way that misrepresents the Photographer’s work

• Use beyond agreed-upon scope without written permission

Corporate, event, and sports photography licensing may include additional usage terms and will be outlined in writing when applicable.

6. PORTFOLIO & MARKETING USE

Unless otherwise agreed in writing, David Woolbert Photography reserves the right to use images for:

• Portfolio

• Website

• Social media

• Marketing and promotional materials

Clients may request limited exclusions in writing prior to the session.

7. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide accurate information

• Secure necessary permissions for locations, venues, or participants

• Obtain any required releases for individuals photographed

• Ensure cooperation during sessions and events

The Photographer is not responsible for missed shots due to lack of access, cooperation, or restrictions imposed by venues or participants.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by California law:

• David Woolbert Photography shall not be liable for indirect, incidental, or consequential damages.

• Liability is limited to the amount paid by the Client for services.

• We are not responsible for events beyond our control, including weather, equipment failure, venue restrictions, or participant behavior.

9. FORCE MAJEURE

The Photographer is not liable for failure to perform due to causes beyond reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, illness, or emergencies.

10. DATA & PRIVACY

Personal information collected during booking or communication is handled in accordance with our Privacy Policy, available at www.davidwoolbert.com/privacy-policy.

We do not sell personal information and take reasonable steps to protect client data.

11. SMS & ELECTRONIC COMMUNICATIONS

By providing your phone number, you consent to receive communications from David Woolbert Photography via text message related to:

• Inquiries

• Booking confirmations

• Appointment reminders

• Service updates

Message frequency may vary. Message and data rates may apply.

You may opt out at any time by replying STOP. Consent is not a condition of purchase.

12. GOVERNING LAW & VENUE

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.

Any legal action shall be brought in a court of competent jurisdiction within the State of California.

13. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. MODIFICATIONS

David Woolbert Photography reserves the right to update or modify these Terms & Conditions at any time. Changes will be posted on our website with an updated effective date.

15. ENTIRE AGREEMENT

These Terms & Conditions constitute the entire agreement between the Client and David Woolbert Photography and supersede all prior communications or agreements unless otherwise stated in writing.
